Ordering policies

*General Terms and Conditions of Cookiegram.nl webshop*

*Article 1: Definitions*

1. Cookiegram.nl, located in Rotterdam and registered in the trade register of the Chamber of Commerce under number 86555057, is referred to as the seller in these general terms and conditions.

2. The counterparty of the seller is referred to as the buyer in these general terms and conditions.

3.The parties are together the seller and the buyer.

4. The agreement refers to the purchase agreement between the parties.

5. A pre-order refers to an advance order of a newly annonced product.

*Article 2: Applicability of the General Terms and Conditions*

1. These general terms and conditions apply to all offers, proposals, agreements, and deliveries of services or goods by or on behalf of the seller.

2. By placing an order, the buyer agrees to these general terms and conditions.

3. Deviations from these general terms and conditions can only occur if expressly agreed upon in writing by the parties.

4. The seller reserves the right to amend these general terms and conditions.

*Article 3: Orders*

1. Orders can be easily placed via the seller's webshop, Instagram, Facebook, or WhatsApp. The seller aims to respond within 3 working days. The seller is not responsible for communication and/or delivery problems arising from incorrect data being provided. Orders will always be confirmed via e-mail.

2. To avoid disappointment, it is advised to order in a timely manner. The seller has a delivery time of at least 2 weeks for custom cookie orders, such as baby shower or birthday treats. For large events, such as weddings and corporate events, the seller has a longer delivery time. Check the "Shop Now!" section on the seller's webshop for orders with a shorter delivery time.

3. Please note that all products from the seller are handmade, and therefore only a limited number of orders can be fulfilled each day. The seller does everything possible to deliver orders on the chosen delivery date. In general, the buyer can expect a delivery time of 2 to 3 working days.

*Article 4: Prices*

1. The price mentioned in offers, proposals, and invoices consists of the purchase price, including the applicable VAT and any other government levies.

2. Unless otherwise stated, all mentioned prices and rates are in euros.

3. Prices and rates are subject to typographical errors and changes.

4. The price of custom cookies varies depending on the complexity of the design and the number of cookies. The seller advises the buyer to fill out the seller's request form so that the seller can discuss pricing options with the buyer. In general, the buyer can expect to invest €1.80 to €2.00 per cookie for custom cookies.

*Article 5: Payment*

1. The full purchase amount is always paid immediately in the webshop. For pre-orders and reservations for custom cookies, a deposit of at least 50% of the total purchase amount is expected in certain cases. In that case, the buyer receives proof of the reservation and the advance payment

2. Orders are reserved when the seller has received:
(i) the full purchase amount of the order; or
(ii) at least 50% of the total purchase amount in the case of an order of at least 30 custom cookies. Payment must be made within 3 days after confirmation. In the case of late payment, the reservation will lapse.

3. The buyer can pay as follows:
(i) with iDeal, credit card (Mastercard, Maestro or Visa), PayPal, or bank transfer; or
(ii) later with Klarna or Afterpay.
The buyer receives an invoice via email

4. If the buyer does not pay on time, they are in default. If the buyer remains in default, the seller is entitled to suspend the performance of the agreement until the buyer has fulfilled their payment obligation.

5. If the buyer remains in default, the seller will proceed to collection. The costs related to that collection are at the buyer's expense and will be calculated based on the Decree on compensation for extrajudicial collection costs.

6. In the event of liquidation, bankruptcy, seizure, or suspension of payment by the buyer, the seller's claims against the buyer will become immediately due.

7. If the buyer refuses to cooperate with the execution of the agreement by the seller, the buyer is still obliged to pay the full purchase amount to the seller.

*Article 6: Delivery*

1. Products are delivered throughout the Netherlands. There are several delivery options, namely:
- Shipping via PostNL; or
- Delivery (+delivery costs).

Upon request, custom cookies for large events, such as weddings and corporate events, can be delivered. A fee of €0.35 per driven kilometer will be charged for this. The number of kilometers is rounded up, and the distance is calculated based on the round trip.

2. All delivery costs are at the buyer's expense.

3. The buyer is obliged to accept the products at the moment
(i) the seller delvers them to the buyer or arranges for them to be delivered, or
(ii) when they are made available to the buyer according to the agreement.

4. If the seller needs data from the buyer for the execution of the agreement, the delivery time starts after the buyer has provided this data to the seller.

5. A delivery period indicated by the seller is indicative and never a fatal term. If such a term is exceeded, the buyer must formally notify the seller in writing.

*Article 7: Modification of the Agreement*

1. If during the execution of the agreement it appears that it is necessary to change or supplement the work to be performed for proper execution, the parties will timely and in mutual consultation adjust the agreement accordingly.

2. If the parties agree that the agreement is modified or supplemented, this may affect the completion time of the execution. The seller will inform the buyer of this as soon as possible.

3. If the modification or supplementation of the agreement has financial and/or qualitative consequences, the seller will inform the buyer of this in writing beforehand.

4. If the parties have agreed on a fixed price, the seller will indicate to what extent the modification or supplementation of the agreement will lead to an increase in this price.

5. Notwithstanding the provisions of the third paragraph of this article, the seller cannot charge additional costs if the modification or supplementation is due to circumstances that can be wholly attributed to the seller.

*Article 8: Cancellation of the Order*

1. Cancellation by the buyer:

Please note that it is not possible to cancel regular orders with a delivery time of less than 15 days. In some, but not all, cases, it is possible to receive a store credit worth either the full purchase amount of the order or part of that purchase amount for a future purchase upon cancellation of a regular order. The amount of potential store credit depends on how much work has already been done on the canceled order.

An order for 30 or more custom cookies can be canceled free of charge up to 30 days before the delivery date. In the case of cancellation of such a custom order:

(i) between 30 and 15 days before the delivery date, either 25% of the deposit or 12.5% of the full purchase amount will be withheld;
(ii) between 15 and 7 days before the delivery date, either 50% of the deposit or 25% of the full purchase amount will be withheld;
(iii) 7 days or less before the delivery date, either 100% of the deposit or 50% of the full purchase amount will be withheld; and
(iv) the remaining amount will be paid to the buyer within 30 days after cancellation.

Orders with a shorter delivery time can be canceled free of charge up to 24 hours before the delivery date. In such a cancellation of such an order, the full purchase amount of the order will be withheld. Agreements are binding.

2. Cancellation by the seller:
The seller reserves the right to cancel an order in case of illess, injury, and/or other significant circumstances on their side. Of course, the seller will do their best to provide the buyer with an appropriate solution in such cases.

*Article 9: The Cookies*

1. All cookies are handmade. As a result, it is possible that the cookies may slightly differ from the original photos. Similarly, the same cookies may vary slightly from one another. This does not entitle the buyer to a refund.

*Article 10: Liability*

1. The seller is very careful and cautious with packaging orders. All packages are marked with the sticker "fragile." However, during shipping or delivery, the cookies may become damaged or lost. No refunds are given for products that are damaged or lost during shipping or delivery.

2. In the context of the shipping or delivery of its cookies, the seller is not liable for any actions or omissions of: (i) PostNL; (ii) any (other) courier or shipper; (iii) any employee or director of PostNL, any (other) courier or shipper; and/or (iv) any third party engaged by PostNL, any (other) courier or shipper.

3. The buyer is responsible for the order once it has been handed over to them. Damage or loss of the cookies during transport by the seller is entirely the responsibility of the buyer.

4. The buyer is also responsible for the condition in which the cookies are stored.

5. The seller is not an allergen-free online cookie shop and advises against consuming its cookies for people who are allergic or
intolerant to wheat, gluten, nuts, soy, dairy, and/or eggs. Everything the seller makes contains butter and eggs unless otherwise stated. Nuts are used in the kitchen, and cross-contact is possible. If the buyer has a severe food allergy, the seller advises against consuming its cookies.

6. In the context of the offer and/or delivery of its cookies, the seller accepts no liability for any damage caused to the buyer, third parties, the buyer's property, and/or the property of third parties.

*Article 11: Complaints Return Policy/Right of Withdrawal*

1. If the buyer is unexpectedly dissatisfied with their order, they must notify the seller within 48 hours of receiving the order and return the uneaten portion of the purchase to the seller within 3 days of receiving the order.

2. The decision on whether to grant a refund of the full purchase amount of the order or part of that purchase amount or a store credit for a future purchase equal to the full purchase amount of the order or part of that purchase amount will be made on a case-by-case basis.

3. The seller's goal is always a satisfied customer. If the seller has indeed made a mistake (the cookies were not prepared correctly), the seller will certainly rectify this.

4. The seller does not offer refunds in cases where the cookies have been baked and decorated correctly, but the taste or texture does not meet a personal preference. Most people enjoy the flavors of the seller, but it is impossible to predict individual taste preferences.

5. If something went wrong, please let the seller know immediately.

*Article 12: Force Majeure*

1. If the seller cannot, cannot timely, or cannot properly fulfill their obligations under the agreement due to force majeure, the seller is not liable for any damage suffered by the buyer.

2. Force majeure is understood by the parties to include any circumstance that the seller could not reasonably take into account at the time of entering into the agreement, and as a result of which the normal performance of the agreement cannot reasonably be demanded from the buyer, such as illness, war, threat of war, civil war, riots, vandalism, sabotage, terrorism, power outages, flooding, earthquakes, fire, business occupation, strikes, employee exclusions, changed government measures, transport difficulties, and/or other disruptions in the seller's business.

3. Furthermore, the parties understand force majeure to mean the circumstance that suppliers on whom the seller depends for the execution of the agreement do not fulfill their contractual obligations to the seller unless this can be demonstrably attributed to the seller.

4. If a situation as aforementioned occurs due to which the seller cannot fulfill their obligations to the buyer, those obligations will be suspended as long as the seller cannot fulfill them. If the situation referred to in the previous sentence has lasted for 30 calendar days, each party has the right to fully or partially dissolve the agreement.

5. If the force majeure lasts longer than 3 months, the buyer has the right to terminate the agreement immediately.

6. Termination can only occur through a registered letter.
